Branch Operation Agreement
This Branch Operation Agreement (“Agreement”) is made and entered into as of the date signed below by and between Commudash Marketplace LLC (“Commudash”), a limited liability company, and the individual (“User”) who has applied and been approved to operate a branch of Commudash using its suite of software and branding.
1. Purpose
The purpose of this Agreement is to protect the interests of both Commudash and the User while granting the User the rights necessary to operate a branch of Commudash Marketplace LLC.
2. Grant of Rights
Commudash grants the User the non-exclusive right to operate a branch of Commudash using the provided software, mobile application, website, brand name, logo, business model, insurance, and related materials.
3. Application Fee
The User agrees to pay a fee of $500 upon submitting the contract application.
4. Term and Renewal
The initial term of this Agreement is for one (1) year from the date of execution.
The User may request renewal of this Agreement at the end of the term, with no additional fee required for renewal.
5. Commudash Obligations
Commudash will provide the User with:
Access to all necessary software, mobile applications, website resources, training, maintenance and insurance coverage for the duration of this Agreement.
6. Revenue Sharing
6.1 The User agrees to pay Commudash 10% of the branch’s monthly revenue. Payments shall be made on or before the 10th day of each month.
6.2 If the User fails to pay the 10% revenue share for three (3) consecutive months, Commudash may terminate this Agreement at its sole discretion. In such a case, there will be no guarantee that the Agreement will continue, and the $500 application fee will not be refunded.
7. Money-Back Guarantee
Commudash guarantees to refund the $500 application fee at the end of the contract term, provided that the Agreement has not been canceled prematurely by the User.
8. User’s Right to Cancel
The User may cancel this Agreement at any time; however, the $500 application fee will not be refunded if the User chooses to cancel.
9. Commudash’s Right to Cancel
Commudash may cancel this Agreement at any time, in which case the User will be refunded the full $500 application fee.
10. Option to Purchase
The User has the option to purchase the branch and operate it as a business owner under a separate agreement with Commudash.
11. Initial Free Month
Upon execution and payment of this Agreement, the User is granted one (1) month of operation without revenue contribution obligations.
12. Branch Partner Rights
The User may modify membership pricing, ad duration on the site, free or paid delivery, and decide whether to offer customer advertising.
The User agrees to comply with all terms outlined in this Agreement.
14. Restrictions
The User may not change the logo, color scheme, site terms and conditions, or the branch name.
The User must operate under the branding and guidelines provided by Commudash.
15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Florida state.
16. Entire Agreement
This Agreement constitutes the entire understanding between Commudash and the User and supersedes all prior agreements or understandings.
