Marketplace Development Agreement

This Marketplace Development Agreement (“Agreement”) is made and entered into as of the date signed below by and between Commudash Marketplace LLC (“Commudash”), a limited liability company, and the individual or entity (“User”) who has agreed to engage Commudash to develop an online marketplace.

1. Purpose
The purpose of this Agreement is to protect the interests of both Commudash and the User while outlining the terms and conditions under which the development service will be provided.

2. Deposit and Payment Terms

• The User agrees to pay a non-refundable deposit of $500 upon submitting the contract application.
• The total price for the development service is $5,000.
• After the initial deposit, the User must agree to pay the remaining balance of $4,500 in installments every 30 days until the total amount is paid in full.
• The User may also choose to pay the full price upfront if preferred.

3. Scope of Service
Commudash agrees to provide the following as part of the service:

• A fully developed website and mobile application.
• Integration of an ad management plugin.
• A multi-vendor management plugin.
• An e-commerce plugin.
• A delivery management plugin.
• An employee management plugin.
• A location picker plugin.
• An e-commerce theme.
• A Landing page.

4. Finality of Sale

• All sales are final. There will be no refunds after the purchase is completed.
• If the User chooses to cancel the Agreement, no refunds will be provided, and the User will remain liable for any unpaid balance.

5. Excluded Services
The following are explicitly not included in this service:

• Formation of a limited liability company (LLC).
• Provision of insurance coverage.
• Ongoing maintenance or support services post-development.

6. Transfer of Control
The User will not have full control and ownership of the marketplace until all payments are made in full. Until that time, Commudash retains partial administrative control to secure payment.

7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Florida State.

8. Entire Agreement
This Agreement constitutes the entire understanding between Commudash and the User and supersedes all prior agreements or understandings related to the development of the marketplace.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written below.
